A. TERMS OF USE FOR SELLERS, PROSPECTIVE BUYERS AND/OR THIRD PARTIES.

1. BMM is a technological service and platform provider and not a retailer or a traditional auctioneer.
2. The BMM platform offers a technological service that allows buyers and sellers to connect. Users can sign up and search for their desired products and services. Likewise, sellers can sign up and register as sellers for the sale of various building materials to buyers.
3. BMM's responsibilities under these terms are limited solely to facilitating the availability of our technological services and provision of platform.
4. A prospective buyer/third party's access to the website and participation in any activity of purchase via the BMM's platform, are at the prospective buyer's/third party's risk.
5. The BMM disclaims all warranties, be it express, limited and/or implied. To that extent, the BMM limits its liability to this effect.

B. TERMS OF USE FOR MANUFACTURER USERS.

1. The BMM provides access to Manufacturers (Manufacturer Users,) to list their products and provide information on their products for prospective buyers and/or third parties to access and subscribe on the BMM's website in exchange for a subscription fee.
2. By subscribing and using the BMM's website by a Manufacturer User, the Manufacturer User undertakes to provide a limited license to BMM to display and use all Manufacturer's product information, including images and other copyrighted materials and intellectual property.
3. Manufacturer Users must only upload or provide intellectual property they own or hold the appropriate licenses for.
4. The BMM takes no responsibility for the accuracy of the information provided by the Manufacturer Users.
5. Manufacturer Users are responsible for updating or correcting any information provided to the BMM's users on the BMM's website.

I. AGREEMENT TO BMM'S TERMS OF USE

Usage of the BMM's website binds all parties by our terms of use.

All parties that subscribe and/or visit our website are advised to carefully go through the Terms of Use of the BMM before proceeding further to the usage of the website.

PLEASE NOTE THAT by clicking to 'Accept' or 'Agree' to the 'Terms of Use', when the said option is made available to a party as envisaged in our classification of parties, stated above, the said party accepts to be bound by the BMM's 'Terms of Use.'

If a party does not want to agree to the 'BMM's Terms of Use. The said party must not proceed to access or use the website.

II. USAGE OF THE BMM's PLATFORM BY AN AUTHORIZED AGENT

In a situation whereby a person is an agent authorized to bind another person, and the said agent is acting under the directives of the Principal, the said agent may not create an account for anyone else other than himself.

In a situation whereby the Agent is accessing or using the website as an Agent of a company (the Employer of the said Agent and/or other legal entity,) the said Agent represents and warrants that he has the authority to bind the company and/or any other legal entity to these terms. To this effect, all acts, and omissions demonstrated by the Agent shall be understood to have been properly demonstrated by the company and/or legal entity the Agent represents.

III. CREATION OF ACCOUNT WITH THE BMM'S PLATFORM.

By creating an account on our website by a party, the said party agrees to abide and be bound by the BMM's 'Terms of Use' and provide accurate information,

The BMM solely reserves the right to suspend and/or terminate a party's account if any information provided by the said party proves to be misleading, false and misrepresenting the actual fact and otherwise in violation of the BMM's 'Terms of Use.

IV. GENERAL USAGE OF THE BMM'S PLATFORM.

1. A person who desires to access the BMM's website may use the website only if the person is of legal age and has the capacity to form a binding contract, and not a person barred from receiving services under the laws of the Federal Republic of Nigeria or other applicable jurisdictions.
2. A person may use the BMM's website only in compliance with BMM's 'Use of Terms' and all applicable local, state, national and international laws, rules and regulations.
3. On any suspicion of foul play by a party and an abuse of the BMM's website in any way, the BMM may in its sole discretion and without limiting others. remedies, limit, suspend, and/or terminate the party's account(s) and access to the BMM's website, delay or remove hosted content, remove any special status associated with the party's account, remove, not display and/or demote listings, reduce or eliminate any discount, and take technical or legal step to prevent the party from using the BMM's website, with or without notice to the party.

V. NO ENDORSEMENT

1. The BMM does not endorse any seller(merchant/manufacturer) or any item they may offer for sale through the website.
2. The BMM is not obligated to conduct background checks on any seller/merchant except on the condition that the said seller/merchant has been verified by the BMM. This is however discretionary.
3. The BMM is not responsible for any damage or harm resulting from communication or interaction with buyers.
4. Sellers are not employees, agents or otherwise contractors of BMM.
5. The BMM does not in any way supervise, direct or control buyers and sellers.
6. By using the BMM's website, a party agrees that any legal remedy or liability that he seeks to obtain for actions or omissions of buyers or sellers or other third parties, will be limited to a claim against the buyer, the seller and other third parties that must have caused the party legal injury or harm, the said party agrees not to impose any liability emanating therefrom on the BMM, or seek any legal remedy from the BMM with respect to such actions or omissions that resulted to the legal injury.

VI. SELLER'S LISTING CONDITIONS

When listing a product or services for sale on quotation request on the website, the BMM agrees that:

1. A party is responsible for the accuracy and content of the listing and pricing of the item offered;
2. Content that violate any of the BMM's terms may be modified, removed or obfuscated at BMM's discretion.

BMM's strives to create a market place where prospective buyers and/or third parties find what they need. Therefore, the appearance or placement of listings in search and browse results will depend on the variety of factors, including but not limited to:

1. Buyer's location, listing details and search query.
2. Items locations, listing format, price and shipping cost and additional cost, and other terms.
3. Number of listings matching the seller's input and information provided.

VII. BMM's PRIVACY POLICY

It is settled law that Privacy Policy is a statement in form of a legal document that states how a company or website collects, handles and processes data of its customers and visitors.

Such policies explicitly describe whether that information is kept confidential, or is shared with or solid to third parties.

To this effect, kindly find below BMM's privacy Policy:

1. When a party signs up with BMM, the party gives us certain information voluntarily. This includes the party's name, email address, phone number, profile photo, pins, comments and any other information and details necessary.
2. If a party chooses to link his Facebook or Google account(s) and any other social network platform from other third party services to BMM, BMM shall get information from those accounts (such as your friends and contacts.) The information BMM gets from those services depends on your settings and their privacy policies. To this effect, a party is advised to check the settings on his device while subscribing and/or using BMM's website.
3. The account settings shall have information about how much access BMM shall have to their subscribers' and/or users' data.
4. Manufacturer Users and Sellers shall disclose their businesses, location and all other contact information that will be accessible by a prospective buyer and/or third party.
5. Manufacturer users and sellers business transactions with prospective buyers and/or third parties shall be accessed, supervised and monitored by the BMM.
6. BMM shall have the rights to publish for public notice any manufacturer, user or seller or any other user of the website it suspects of fraudulent acts.

VIII. BMM'S COPYRIGHT NOTICE

BMM is protected by the Laws of the Federal Republic of Nigeria and other applicable International copyright laws. Reproduction, usage, modification and tampering with any symbol, logo, content or any representation of BMM without written permission of the BMM, are prohibited.
